The sponsor of the Exos BIPOC Scholarship Program (the “Program”) is Exos Works, Inc., located at 2629 E. Rose Garden Lane, Phoenix, AZ 85050 (“Exos”).
Participation in the Program constitutes your acceptance of these Official Rules, Exos’ Website Terms of Service, Exos’ Privacy Policy, and the decisions of the Exos, which are final and binding.
Application opens Febuary 24, 2025. Interested students should submit an application at this link by the deadline of May 23, 2026. Each participant is limited one to application.
Exos will select winners by June 6th, 2025 of two scholarships valued at $2,500.00 . Exos will select two winners based on four judging criteria, determined in the judges’ sole and absolute discretion, applied to the submissions with the following weight:

Winners are not promised/guaranteed anything beyond the scholarship money (ex. employment). Scholarship will be paid to the college/university you are attending for tuition. Each prize is provided as-is with no warranty or guarantee. No substitution or transfer of prizes is permitted. Federal, state, and local laws and regulations may apply, including but not limited to tax laws. Upon request from Exos, the winner must provide Exos with a valid taxpayer identification number before any prize will be awarded. The winner may receive an IRS Form 1099 at the end of the calendar year. Exos may require the winner to sign and return an affidavit of eligibility, a liability release and a publicity release in addition to the electronically signed versions of those terms included in these Official Rules. In Exos’ sole and absolute discretion, refusal or inability to sign and return such forms within five days of notification may result in disqualification and the selection of an alternate winner.
All submissions must be created exclusively for the Program, and not previously submitted in a past promotion or previously displayed publicly. Submissions must be the original work of the participants and not violate the rights of any other party, including but not limited to intellectual property rights or rights of privacy/publicity. Submissions must NOT contain: (a) advertising or commercial content for any party other than Exos; (b) content that endorses/promotes illegal or harmful activity; (c) violent, profane, vulgar, obscene, defamatory or otherwise objectionable material; (d) adult material; or (e) any other material that Exos deems objectionable in its sole and absolute discretion. Exos reserves the right to disqualify any submission that violates these prohibitions, or any submission Exos deems inappropriate for any reason, is Exos’ sole and absolute discretion.
Two winners will be notified no later than May 29th, 2025 through email or other messaging methods. If any such winner fails to respond within five business days, he or she may be disqualified, and the Prize may be awarded to an alternate winner. Exos will publicly announce the winner within 15 days of verbal confirmation of acceptance of the prize by the winner, including through social media channels.
By make a submission, you (a) hereby grant Exos an unrestricted, perpetual, worldwide, royalty-free, sublicensable, exclusive license to reproduce, distribute, transmit, publish, display, or otherwise use your submission (including in conjunction with your likeness, photo, name, and/or geographical and biographical information), with or without modifications, in any media, whether now existing or later developed, for any purpose, (b) forever waive any rights of copyrights, trademark rights, privacy rights, and any other legal or moral rights that may preclude Exos’ use of your submission entry, or require further permission for Exos to use the submission; and (c) agree not to instigate, support, maintain, or authorize any action, claim, or lawsuit against Exos on the grounds that any use of your submission, or any derivative works, infringes any of the your rights, including, without limitation, copyrights, trademark rights, and moral rights, or the rights of any persons appearing in the entry, including, without limitation, rights of publicity.
By participating in the Program, entrants agree to release and hold harmless Exos, its affiliates, advertising and promotion agencies, other companies associated with the Program (including any third party social media site), and each of their respective officers, directors, employees, shareholders, representatives, and agents (the “Released Parties”) from and against any claim or cause of action arising out of participation in the Program or receipt or use of the prize, including, but not limited to (a) any technical errors related to computers, servers, providers, or telephone or network lines; (b) unauthorized human intervention in the Program; (c) printing or typographical errors; (d) any other errors or problems in connection with the Program or (e) injury or damage to persons or property. EXOS MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, REGARDING ANY PRIZE OR ANY YOUR PARTICIPATION IN THE PROGRAM. IN NO EVENT SHALL YOUR BE ENTITLED TO RECEIVE ATTORNEYS’ FEES. YOU WAIVE THE RIGHT TO CLAIM ANY PUNITIVE, SPECIAL CONSEQUENTIAL, DIRECT, OR INDIRECT DAMAGES. IN ALL CASES, THE RELEASED PARTIES’ LIABILITY MAXIMUM AGGREGATE LIABILITY ARISING UNDER THESE OFFICIAL RULES $100.
The Program is void where prohibited. If any terms or provisions of these Official Rules are held by a court of competent jurisdiction to be invalid, void, or unenforceable, the remaining provisions shall continue in full force and effect and these Official Rules shall be reformed to reflect the intention of these Official Rules to the maximum possible extent. Exos may suspend, modify or terminate the Program if it believes, in its sole discretion, that malfunction, error, disruption, or damage is impairing or will impair the administration, security, fairness, integrity, or proper conduct of the Program, in which case the prizes will be awarded among the eligible entries received that were unaffected by the problem, if possible.
Exos reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of the Program or to be acting in violation of these Official Rules or in an unsportsmanlike or disruptive manner. Failure by the Exos to enforce any provision of these Official Rules shall not constitute a waiver of that provision. Exos has the exclusive power to interpret these Official Rules and Exos’s decisions regarding rules interpretations are final and binding on all participants.
You agree that any and all disputes, claims, and causes of action arising out of, or connected with, the Program or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the appropriate court located in New York County, New York. All issues and questions concerning the construction, validity, interpretation, and enforceability of these Official Rules, your rights and obligations, or the rights and obligations of Exos in connection with the Program, shall be governed by, and construed in accordance with, the laws of New York. THE PARTIES WAIVE THEIR RIGHT TO A JURY TRIAL IN ANY DISPUTE OVER THE PROGRAM.
